POCKETPLATE / POCKETPLATE.AI / JORBY LLC AFFILIATE PROGRAM TERMS & CONDITIONS

(“Agreement”)

BY SIGNING UP WITH THE POCKETPLATE (“www.pocketplate.ai”, “PocketPlate”, “we”, “us”, and “our”) AFFILIATE PROGRAM (“Program”), YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD ALL CLAUSES WITHIN THIS AGREEMENT AND AGREE TO BE BOUND BY ALL TERMS AND CONDITIONS HEREIN. THE TERMS OF THIS AGREEMENT FORM THE ENTIRE CONTRACT BETWEEN THE PARTIES REGARDING ITS SUBJECT MATTER.

YOU (“You”, “Affiliate”, or “Affiliates”) AGREE THAT THIS AGREEMENT IS ENFORCEABLE LIKE ANY WRITTEN NEGOTIATED AGREEMENT SIGNED BY YOU.

This is a legal agreement between you (either an individual or a legal entity) and PocketPlate, a Jorby LLC brand, along with its authorized service providers, distributors, promoters, and resellers. This Agreement outlines the rules and regulations of the Program.

By clicking “Sign up” during registration, you represent that you are at least 18 years old and agree to our Privacy Policy, Cookies Policy, and this Agreement. If you are acting on behalf of a company, you represent that you are authorized to bind that company.

PocketPlate reserves the right to approve or reject any Program application at its sole discretion. Neither PocketPlate nor its representatives will be liable if your application is rejected.

TERMS AND CONDITIONS OF THE ACCOUNT

  1. You must provide your legal full name, valid email address, and any other requested information to complete signup.

  2. You are responsible for maintaining the security of your account and password. PocketPlate is not liable for loss or damage caused by your failure to secure your account.

  3. You are responsible for all content and activity occurring under your account.

  4. Each legal entity may control no more than one Program account unless expressly authorized.

  5. You may not use the Program for illegal or unauthorized purposes.

  6. You may not use the Program to gain discounted PocketPlate products for your own use or for related entities. All sales must be bona fide, arm’s-length customer transactions.

  7. Paid Ads Policy:
    You may not:
    – Use your affiliate link in any paid media (search, social ads, etc.).
    – Bid on PocketPlate trademarked keywords (e.g., “pocketplate.ai”, “PocketPlate discounts”, or variations/misspellings).
    – Redirect traffic via misspelled domains or “typosquatting.”
    – Use doorway pages, parasiteware, interstitials, browser extensions, or deceptive overlays.
    – Overwrite, intercept, or manipulate tracking cookies except via customer-initiated clicks.

    You may:
    – Review PocketPlate on your blog/YouTube channel, use approved banners, or share your affiliate link on social media, provided you comply with all applicable platform policies.

Abuse or policy violations will result in immediate account termination and forfeiture of commissions.

8. Compliance With Laws

You agree to comply with all applicable laws and industry guidelines, including those governing marketing emails (e.g., CAN-SPAM Act, e-Privacy rules, anti-spam regulations).

9. COMMISSIONS AND PAYMENT

Commissions become due when a customer signs up for PocketPlate services using your unique affiliate link under a bona fide, arm’s-length transaction and does not cancel within 30 days in accordance with PocketPlate’s Terms of Service.

Commissions apply only to subscription revenue. Non-subscription services are excluded.

Commissions are approved the month after the sale and paid 30 days after approval, assuming no disputes or issues with referred customers. PocketPlate may withhold or investigate any payout if necessary.

Refunds void commission eligibility. If a paid commission must be reversed, the amount will be deducted from your next payout or must be repaid immediately.

Affiliates are paid according to the PocketPlate Affiliate Program Terms of Service. Payment options may vary by region (e.g., bank transfer, PayPal).

Commission duration: 12 months from the customer’s signup date.

Inactive accounts (no logins or transactions for 6 months) with balances below the minimum payout threshold may be closed, and commissions forfeited.

Self-referrals and referrals of existing PocketPlate customers do not qualify.

PocketPlate reserves the right to request KYC information, conduct due-diligence checks, or withhold payments to suspicious accounts.

Taxes related to commissions are solely your responsibility.

PocketPlate may credit commissions manually at its discretion if a referral occurred outside normal link tracking.

We reserve all rights to offset overpayments or amounts owed.

10. Affiliate Responsibilities

You are solely responsible for developing, operating, and maintaining your site and marketing channels, including:
– Technical operation;
– Ensuring your marketing does not violate third-party contracts;
– Accuracy of content;
– Avoiding copyright, trademark, privacy, or IP violations;
– Ensuring materials are lawful and non-libelous;
– Proper disclosure of data collection practices.

11. Termination

Your affiliate account may be suspended or terminated for reasons including:
– Inappropriate advertising or false claims;
– Spamming;
– Promotion on illegal or inappropriate sites;
– Violation of FTC guidelines;
– Abuse of PocketPlate branding or intellectual property;
– Fraudulent referrals, self-referrals, or suspected fraud;
– Marketing methods that PocketPlate deems harmful to brand reputation.

PocketPlate may terminate any affiliate account at any time, at its sole discretion, without obligation to disclose a reason. Termination may result in forfeiture of unpaid commissions tied to fraudulent or aggressive marketing.

12. Right of Audit

PocketPlate may audit your records to verify referral accuracy. Overpayment due to misrepresentation must be repaid immediately. If discrepancies exceed 3%, you must also reimburse audit costs.

13. Identifying Yourself as a PocketPlate Affiliate

You may disclose your participation in the Program but may not misrepresent your relationship with PocketPlate or imply any form of endorsement, partnership, sponsorship, or employment.

14. Promotional Links & Materials

Upon approval, you will receive a unique affiliate code. You may use PocketPlate-approved graphics, banners, and linking materials in emails, on your website, or on social media. Custom materials must follow PocketPlate branding guidelines and may not be misleading.

PocketPlate grants a limited, revocable, non-transferable license to use approved promotional materials while this Agreement is active.

15. Customer Definition

All customers acquired through the Program are considered customers of PocketPlate. PocketPlate may change pricing, policies, or product availability at any time.

16. Non-Disparagement

You agree not to make false, misleading, or disparaging statements about PocketPlate, its services, or its team. PocketPlate may terminate your account for violations.

17. Relationship of Parties

You are an independent contractor. This Agreement does not create a partnership, joint venture, agency, franchise, or employment relationship. You have no authority to make commitments on behalf of PocketPlate.

18. Liability

PocketPlate is not liable for indirect, incidental, or consequential damages, including loss of revenue, loss of commissions, or data loss. Aggregate liability will not exceed the commissions paid to you in the six months preceding the claim.

Affiliate tracking is provided by third-party systems; PocketPlate is not responsible for tracking failures or interference caused by user environments, software, or browser settings.

19. Term of Agreement

This Agreement begins when you join the Program and continues until terminated.

PocketPlate may modify the Agreement at any time. Continued participation constitutes acceptance of changes.

20. Electronic Execution

Completing the affiliate application constitutes your electronic signature and legal acceptance of this Agreement.

21. Independent Investigation

You acknowledge that you have independently evaluated the benefits of participating and are not relying on PocketPlate’s representations beyond this Agreement. PocketPlate may engage in direct or indirect referral activities that compete with your efforts.

22. Dispute Resolution

Disputes must first be escalated to PocketPlate senior management for resolution. If unresolved within 10 business days, disputes may be submitted to confidential arbitration under the rules of the American Arbitration Association (AAA). Injunctive relief for IP violations may be sought in state or federal courts located in Georgia, USA.

23. Miscellaneous

This Agreement is governed by the laws of the State of Georgia, USA.
You may not assign this Agreement without written consent.
Failure to enforce any right does not waive that right.
This Agreement supersedes all prior versions or agreements.

PocketPlate may update the Agreement without prior notice unless an amendment materially reduces affiliate benefits; in such cases, 30 days’ notice will be provided. You may terminate during that period; otherwise, continued participation constitutes acceptance.
